The papers

The working proposal, laid out to print.

A working proposal. Not legal advice and not a binding offer. Every number in it is still a proposal.

The purpose

For the trust instrument

The purpose of this Trust is to build, hold, and protect cooperative infrastructure for economic participation and community self determination: a care centered, harm reduction based structure through which individuals and organizations participate in the economy with the collective leverage of a conglomerate while retaining ownership and operation of their own work; through which enterprise is conducted to the benefit of the people it touches; and through which the value, people, and resources that participation creates return to the participants who created them, and to those who would create with them.

In plain words

Whimsible is the thing you own, not the thing you work for. It does nothing by itself except create connection. You plug your business, your craft, your work into it, and it joins with everyone else's. That pooled strength is what lets each of us create what we set out to create, and find the people and the resources to create it with. You keep running your thing. You stop being structurally alone while you do it. And if you ever want out, you leave with what you came with plus what you earned while connected.

The shape

A Perpetual Purpose Trust formed in Wyoming holds the governing interest of a California cooperative corporation. The beneficiary of the trust is the purpose itself. The trust locks the terms of connection, not the assets: exit is a constitutional right.

The way out

Written down before anyone joins, so that what is fair never has to be argued about later.

  1. You always leave with everything you came with.
  2. The records compare two numbers: the share of growth you created, and the share of impact your leaving causes.
  3. If your leaving costs everyone more than the growth you created, you leave with what you came with only.
  4. If it costs less, you leave with what you came with plus what you grew: the growth you directly affected.

You choose what to bring in, and only what is in is protected. The ledger records who came in with what and when, what happened after, and how it affected everyone else.
